License

This License Agreement (“Agreement”) is a legal agreement between you (“User”) and Bud parneting [”Company”] for the use of Bud’s software, services, and content (collectively, the “Licensed Materials”). By accessing, downloading, or using the Licensed Materials, you agree to be bound by this Agreement. If you do not agree, you must not use the Licensed Materials.

1. Grant of License

1.1 License Scope

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Licensed Materials solely for personal, non-commercial purposes.

    1.2 Restrictions

    You agree not to:

    • Reverse-engineer, decompile, or disassemble the Licensed Materials.

    • Use the Licensed Materials for any illegal, unauthorized, or unethical purposes.

    1.3 Ownership

    The Licensed Materials are the sole property of the Company. This Agreement does not transfer any ownership rights to you. All rights not expressly granted are reserved by the Company.

        2. User Responsibilities

        2.1 Compliance

        You agree to use the Licensed Materials in compliance with all applicable laws and regulations.

          2.2 Account Security

          If the Licensed Materials require account creation, you are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

            2.3 Contents Usage

            You may not use the Licensed Materials to upload, share, or distribute any content that:

            • Violates intellectual property rights.

            • Contains harmful or malicious code.

            • Is offensive, defamatory, or illegal.

              3. Updates and Modifications

              3.1 Updates

              The Company may provide updates or modifications to the Licensed Materials. These updates may include bug fixes, enhancements, or new features and are subject to this Agreement.

                3.2 Discontinuation

                The Company reserves the right to discontinue the Licensed Materials or any feature thereof at any time without notice or liability.

                    4. Fees and Payments

                    4.1 License Fees

                    If the Licensed Materials are provided on a subscription basis, you agree to pay all applicable fees. Payment terms and conditions are outlined in the Pricing and Payment Policy.

                      4.2 Non-Refundable

                      Fees paid for the Licensed Materials are non-refundable unless required by applicable law.

                        4.3 Failure to Pay

                        Failure to pay any fees may result in termination of your access to the Licensed Materials.

                            5. Termination

                            5.1 Termination by the Company

                            The Company may terminate this Agreement immediately if you violate its terms or engage in prohibited activities.

                              5.2 Termination by the User

                              You may terminate this Agreement by ceasing all use of the Licensed Materials and deleting all copies in your possession.

                                5.3 Effect of Termination

                                Upon termination, your rights to the Licensed Materials will immediately cease. You must delete or destroy all copies of the Licensed Materials.

                                    6. Disclaimers and Limitations of Liability

                                    6.1 No Warranty

                                    The Licensed Materials are provided "as is" without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

                                      6.2 Limitation of Liability

                                      To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use the Licensed Materials.

                                        6.3 Force Majeure

                                        The Company is not responsible for delays or failures caused by events beyond its reasonable control, including acts of God, natural disasters, or internet outages.

                                            7. Intellectual Property

                                            7.1 Trademarks

                                            All trademarks, logos, and service marks displayed in the Licensed Materials are the property of the Company or their respective owners.

                                              7.2 Contents Ownership

                                              The Licensed Materials, including text, graphics, software, and data, are protected by copyright laws. Unauthorized use may result in legal action.

                                                  8. Governing Law

                                                  This Agreement is governed by the laws of Delaware, USA, without regard to its conflict of law principles. Any disputes will be resolved in the courts located in Wilmington, Delaware, USA.

                                                    9. Amendments

                                                    The Company reserves the right to modify this Agreement at any time. Updated terms will be posted on our website, and continued use of the Licensed Materials constitutes acceptance of the changes.
